1. Acceptance
By accessing or using provetly.com (the "Service"), you agree to these Terms of Service (the "Terms") and to our Privacy Policy. If you do not agree, do not use the Service.
The Service is operated by Orchiq, a sole proprietorship of Renel Lherisson, based in Montréal, Québec, Canada ("Provetly," "we," "us," "our").
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
3. Description of the Service
Provetly is an online directory that connects homeowners in the United States and Canada with home service contractors (plumbing, electrical, HVAC, roofing, landscaping, painting, carpentry, cleaning, general contracting, pest control, etc.).
What Provetly is not. Provetly:
- Is not a contractor and does not perform any home services.
- Is not a party to any agreement between a homeowner and a contractor.
- Is not the agent, employer, or partner of any contractor listed on the Service.
- Does not guarantee the quality, safety, legality, accuracy, or outcome of any contractor's work.
Vetting disclaimer. We verify contractor licenses, insurance, and the business owner's background at the time of listing, and we re-verify periodically. Vetting does not guarantee work quality, completion, satisfaction, or fitness for any particular project. Conditions can change between verification cycles. You are responsible for your own due diligence before engaging any contractor.
4. Accounts
4.1 Homeowner Accounts (Free)
You may create a free homeowner account to leave reviews, save contractors, and contact contractors. You agree to provide accurate information.
4.2 Contractor Accounts (Paid)
Contractors must:
- Submit accurate business information, license number(s), and insurance certificates.
- Authorize a background check on the business owner.
- Maintain valid licensure and insurance throughout the subscription.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized use at security@provetly.com.
5. Contractor Obligations
If you list as a contractor, you agree to:
- Maintain accurate, current license and insurance information at all times.
- Honor the services, service area, and pricing you publish, or update them promptly.
- Comply with all federal, state, provincial, and local laws applicable to your business.
- Cooperate with periodic re-verification (typically every 12 months or after a flagged event).
- Not impersonate other businesses or misrepresent affiliations.
- Not solicit, write, buy, or otherwise procure fake or incentivized reviews. The FTC's Trade Regulation Rule on Consumer Reviews and Testimonials (16 CFR Part 465) prohibits these practices, with civil penalties up to approximately $51,744 per violation.
We may suspend or remove any contractor listing if we, in good faith, believe these obligations are not met.
6. Homeowner Obligations
If you use the Service as a homeowner, you agree to:
- Provide accurate information in your reviews.
- Only review contractors with whom you had a genuine first-hand experience.
- Not post fake, paid, AI-generated, or duplicative reviews.
- Direct any service complaints to the contractor first; Provetly is not responsible for resolving disputes about workmanship.
7. Subscription Terms (Contractors)
7.1 Plans
- Pro: $79 USD per month
- Premium: $149 USD per month
Taxes (e.g., GST/HST/QST/PST, US state sales tax) may be added where applicable.
7.2 Auto-Renewal
Your subscription is a recurring monthly subscription that automatically renews each month at the then-current rate until you cancel. By subscribing, you give your express affirmative consent to recurring monthly charges to your payment method, in compliance with California's Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600–17606), the FTC's "Click-to-Cancel" rule (16 CFR Part 425), and Québec's Consumer Protection Act (RLRQ c P-40.1).
At checkout we provide a clear and conspicuous notice of: (a) the auto-renewal, (b) the monthly term and amount, (c) cancellation methods and a direct cancel link, and (d) our contact information. We will send an annual reminder by email summarizing your plan, charges, and how to cancel.
7.3 Cancellation
You may cancel at any time from your account dashboard or by emailing billing@provetly.com — through the same medium you used to sign up. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. This is a clear and conspicuous statement of our refund policy.
7.4 Failed Payment
If a charge fails, we will retry for up to 14 days (a grace period) and then downgrade your account to a free, unlisted state until payment is made. You remain responsible for amounts owed for the grace period.
7.5 Price Changes
We will notify you by email at least 30 days before any price increase takes effect, with instructions to cancel before the change. Your continued subscription after the effective date constitutes acceptance.
7.6 Québec Subscribers
Québec consumers may cancel at any time on written notice. Cancellation penalties (if any) will not exceed the limits set by Québec's Consumer Protection Act and its regulations.
7.7 Right of Withdrawal — 10-Day Cooling-Off Period (Québec Residents)
If you were a resident of Québec at the time you purchased a Provetly subscription, you have the right to cancel that subscription without cost or penalty within 10 calendar days of the date the contract is concluded. This right is granted by the Québec Consumer Protection Act (RLRQ, c. P-40.1), including the provisions governing distance contracts (contracts entered into at a distance, such as online).
To exercise this right, send a written cancellation request to billing@provetly.com before the end of the 10-day period. Your notice should include your name, the email address on the account, and a statement that you are cancelling under your right of withdrawal. No specific wording is required.
Once we receive a valid notice of withdrawal:
- The contract is cancelled as of the date you sent the notice.
- We will issue a full refund of all amounts paid (including any taxes collected) to your original payment method within 15 days.
- Tax-collected refunds are processed automatically through Stripe.
This right applies only to subscriptions purchased while you were resident in Québec. It does not apply to homeowner accounts, which are free.
7.8 Refund Policy
We offer a 30-day money-back guarantee on all paid subscriptions (Pro and Premium), monthly or annual, in addition to any rights you have under applicable consumer protection law.
- 30-day money-back guarantee. If you are not satisfied with your Provetly subscription for any reason, request a full refund within 30 calendar days of your initial subscription start date by emailing billing@provetly.com with your account email. Refunds are processed within 15 days to the original payment method, including any taxes collected. The guarantee applies once per contractor lifetime — it does not reset on cancellation and re-subscription.
- Annual subscriptions after the 30-day window. If you cancel an annual subscription after the 30-day money-back window, you keep access through the end of the paid period; we do not pro-rate refunds for the unused months.
- Monthly subscriptions after the 30-day window. Cancellations take effect at the end of the current billing month; we do not refund the partial month.
- Platform-side error or extended outage. If we cancel or pause your access due to a Provetly error, or if the Service is unavailable for more than 7 consecutive days during your billing period, you may request a pro-rated refund for the unused portion regardless of how long ago you subscribed. Email billing@provetly.com with your account details.
- Tax refunds. Where a refund is issued, any taxes collected on the refunded portion are refunded automatically through Stripe.
- Founding Pro and Founding Premium programs. If you cancel after holding a Founding Pro or Founding Premium slot, that slot is released back to the pool and the corresponding discount period ends with the cancellation. Re-subscribing later does not restore the slot or resume the discount period. See Section 7.11 for the full Founding Pro and Founding Premium terms.
- Quebec residents. Nothing in this Section 7.8 limits or replaces any right you have under the Québec Consumer Protection Act, including your right of withdrawal under Section 7.7.
7.11 Founding Programs
Provetly offers two distinct founding programs for early-adopting contractors. Each program is independent — holding one does not grant any rights under the other.
7.11.1 Founding Pro
Founding Pro is available to the first 100 verified contractors who subscribe to the Pro plan. Three guarantees:
- 24-month discount — you receive 30% off the then-current Pro base rate for 24 months from your initial subscription start date. After the 24-month period ends, your subscription price snaps to the then-current published Pro rate with 30 days' advance notice per Section 7.5.
- Founding Pro badge — visible on your profile permanently, including after your 24-month discount period expires. The badge marks you as an early supporter and is separate from the price benefit.
- Slot is releasable — if you cancel and receive a refund, your Founding Pro slot returns to the pool. The badge does not transfer; the next contractor to subscribe to the Pro plan receives a fresh slot and a new sequential Founding Pro number. Slot numbers assigned to released slots are not reused.
7.11.2 Founding Premium
Founding Premium is available to the first 100 verified contractors who subscribe to the Premium plan. Three guarantees:
- 24-month discount — you receive 40% off the then-current Premium base rate for 24 months from your initial subscription start date. After the 24-month period ends, your subscription price snaps to the then-current published Premium rate with 30 days' advance notice per Section 7.5.
- Founding Premium badge — visible on your profile permanently, including after your 24-month discount period expires. The badge marks you as an early supporter and is separate from the price benefit.
- Slot is releasable — if you cancel and receive a refund, your Founding Premium slot returns to the pool. The badge does not transfer; the next contractor to subscribe to the Premium plan receives a fresh slot and a new sequential Founding Premium number. Slot numbers assigned to released slots are not reused.
7.11.3 Conditions Applying to Both Programs
- Discount period continuity. The 24-month discount applies only as long as your subscription on the qualifying plan stays active. If you cancel and re-subscribe later, you will pay the then-current rate; the discount period does not restart or resume.
- Tier switching. If you hold a Founding Pro slot and upgrade to the Premium plan, your Founding Pro discount and slot end. Subscribing to Premium does not automatically grant Founding Premium status — Founding Premium is a separate program with its own first-100 counter. The same logic applies in reverse.
- Billing period changes. The discount applies to the billing period (monthly or annual) you selected when you claimed the slot. Switching billing period does not forfeit the slot, but the discounted price is recalculated at 30% off (Founding Pro) or 40% off (Founding Premium) the then-current base rate for the new billing period.
- Failed payments. A failed payment that goes unresolved for more than 30 days is treated as a cancellation for the purpose of the discount period, even if the slot itself remains assigned.
- Dual badges. A contractor who was among the first 100 subscribers to both the Pro plan and the Premium plan may hold both the Founding Pro badge and the Founding Premium badge simultaneously.
- Abuse. Provetly may end either program at its discretion if it appears to be abused (for example, repeated cancellation-and-re-subscription cycles to preserve discount pricing). Contractors in good standing under either program at the time of that decision are not affected.
7.9 Billing Disputes
If you believe a charge on your account is incorrect, contact billing@provetly.com with:
- The account email address,
- The date and amount of the disputed charge, and
- A short description of the issue.
We respond to billing disputes within 5 business days. If we cannot resolve your dispute to your satisfaction, you may:
- Card chargebacks: open a dispute through your card issuer or via Stripe's dispute resolution process; or
- Quebec residents: contact the Office de la protection du consommateur (OPC) at https://www.opc.gouv.qc.ca/ for assistance.
This Section 7.9 does not waive any rights you have under applicable consumer protection law, and does not replace the informal-resolution / disputes process in Section 14.
7.10 Tax Collection Notice
Prices displayed on /pricing are tax-exclusive. Applicable taxes are calculated and added at checkout based on your billing address.
- Canadian residents: GST, HST, or QST is applied at checkout based on your province of residence (e.g., GST + QST for Québec; HST for Ontario and Atlantic provinces; GST only for Alberta, Manitoba, Saskatchewan, and the territories). Tax appears as a separate line on your invoice.
- United States residents: No US sales tax is collected at this time. Provetly does not currently have nexus in any US state. Subscriptions are treated as zero-rated exports from Canada. This may change as US nexus is established; we will update these Terms before collecting US sales tax.
- Other international residents (non-US, non-Canada): Subscriptions are treated as zero-rated exports and no Canadian sales tax is collected. You remain responsible for any tax obligations in your own country.
Tax registration numbers and the rates applied to your account appear on every Stripe invoice. If you believe the wrong tax was applied (for example, because your billing address is out of date), update your billing address in your dashboard or contact billing@provetly.com.
8. Reviews Policy
Reviews must be:
- Original, honest, and based on first-hand experience.
- Free of paid or incentivized content.
- Free of personal attacks, threats, doxxing, hate speech, or unlawful content.
We may, in our discretion, remove reviews that we reasonably believe violate this policy or applicable law. Contractors may dispute factually inaccurate reviews by emailing reviews@provetly.com with documentation. We do not arbitrate matters of opinion.
We do not threaten or intimidate users to suppress negative reviews and will not honor requests to remove reviews based solely on their negative tone.
9. Acceptable Use
You agree not to:
- Scrape, crawl, or harvest data without our prior written permission.
- Reverse engineer or decompile any part of the Service.
- Create fake or duplicate accounts.
- Harass, threaten, defame, or impersonate any person.
- Upload malware or attempt to compromise security.
- Use the Service for spam or unsolicited communications in violation of CAN-SPAM, CASL, or the TCPA.
- Use automated tools to generate reviews or content.
10. Intellectual Property
10.1 Our IP
The Service, including the Provetly brand, software, design, logos, and original content, is owned by Provetly / Orchiq and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
10.2 Your Content
You retain ownership of content you submit (reviews, photos, listings — your "Content"). You grant Provetly a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, and irrevocable license to host, display, copy, modify (for formatting), distribute, and use your Content to operate, promote, and improve the Service. You represent that you have all rights necessary to grant this license and that your Content does not violate any third-party rights or laws.
10.3 Copyright Takedowns (DMCA & Canadian Copyright)
If you believe content on the Service infringes your copyright:
- DMCA (United States, 17 U.S.C. § 512): Send a notice with the elements required by § 512(c)(3) to dmca@provetly.com.
- Canada (Copyright Modernization Act, Notice-and-Notice regime, ss. 41.25–41.27): Send a notice to dmca@provetly.com identifying the work and the alleged infringement; we will forward the notice to the user concerned.
We will respond promptly and may remove or disable access to allegedly infringing content. Repeat infringers will be terminated.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WE DO NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY CONTRACTOR'S SERVICES, REPRESENTATIONS, OR REVIEWS. PROVETLY IS A DIRECTORY ONLY AND IS NOT THE AGENT, EMPLOYER, OR PARTNER OF ANY CONTRACTOR.
Some jurisdictions (including Québec) do not allow the exclusion of certain warranties; in those jurisdictions our warranties are limited to the minimum permitted by law and your statutory rights are not affected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PROVETLY AND ITS OWNER, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
- OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO PROVETLY IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100 FOR USERS WHO HAVE NOT PAID US.
These limits apply even if a remedy fails of its essential purpose. Some jurisdictions (including Québec) do not allow certain limitations; in those jurisdictions liability is limited to the minimum permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Provetly, its owner, and its agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your Content; (b) your use of the Service; (c) your breach of these Terms; (d) your violation of any law or third-party right; or (e) any service you perform for or receive from another user.
14. Disputes
14.1 Informal Resolution First
Before filing any formal claim, please email legal@provetly.com with a description of the dispute. We will try to resolve it within 30 days.
14.2 US Users — Binding Arbitration; Class Waiver
If you are a resident of the United States, any unresolved dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in English, in a venue convenient to you or by video. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
Class action waiver. YOU AND PROVETLY AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Carve-outs. Either party may bring claims in small-claims court or seek injunctive relief for IP infringement.
30-day opt-out. You may opt out of arbitration by emailing legal@provetly.com within 30 days of first accepting these Terms, with your name, account email, and an unambiguous statement that you opt out.
14.3 Canadian Users
If you are a resident of Canada, the disputes section above does not apply to you to the extent it conflicts with mandatory consumer protection law. Disputes will be heard by the courts of the Province of Québec (district of Montréal). Québec consumers retain the right under Article 3149 of the Civil Code of Québec and Article 41 of the Code of Civil Procedure to bring an action in their place of domicile.
15. Governing Law
- For US users: These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration provision.
- For Canadian users: These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, excluding conflict-of-laws rules. Mandatory provisions of consumer protection law in your province of residence still apply.
16. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email and / or by a prominent notice on the Service. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel your subscription as described in Section 7.3.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be replaced with a valid one that most closely reflects the intent.
18. Entire Agreement
These Terms, together with the Privacy Policy and any plan-specific order form, constitute the entire agreement between you and Provetly regarding the Service and supersede prior agreements on the same subject.
19. Termination
You may terminate your account at any time from your dashboard or by emailing legal@provetly.com. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other users.
20. Survival
Sections that by their nature should survive termination — including 5 (Contractor Obligations as to past conduct), 7.3 (no refunds), 10 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Disputes), 15 (Governing Law), 17 (Severability), 18 (Entire Agreement), and this Section 20 — will survive termination.
